Requirements:

  • 4 to 6 years of experience in complex M&A and corporate transactions.

  • Substantive experience managing private equity transactions and private company M&A.

  • Proven ability to handle equity and asset purchase agreements, due diligence, and transaction execution.

  • Familiarity with client management, third-party advisor coordination, and cross-functional teamwork.

  • Excellent written and verbal communication, analytical, and project management skills.

  • Georgia Bar admission required or ability to become admitted.

A leading AmLaw 100 firm is seeking a mid-level associate to join its nationally recognized M&A and Corporate Finance group in Atlanta. The team handles high-value transactions across a range of industries, with a focus on private equity and private target M&A. This is an opportunity to work directly with clients, investment bankers, and advisors on sophisticated deals with national and international scope.

Key Responsibilities:

  • Lead and support M&A transactions from inception through closing.

  • Draft and negotiate equity and asset purchase agreements and ancillary documents.

  • Conduct legal due diligence and summarize findings for clients.

  • Manage deal timelines, coordinate with internal teams, and communicate with stakeholders.

  • Provide actionable, strategic advice to clients based on business and legal considerations.

  • Participate in business development and client relationship management.
