Job Description:
We are representing a prominent national law firm seeking an experienced Corporate Associate to join their Seattle office. This opportunity offers a chance to work on a broad range of corporate matters, including mergers and acquisitions, private securities offerings, contract drafting and negotiation, and corporate governance, within an established and dynamic corporate practice.

Responsibilities:

• Advise clients on a variety of corporate matters, including mergers and acquisitions, private securities offerings, contract drafting, and corporate governance.
• Draft and negotiate corporate agreements, including mergers and acquisitions agreements, securities offerings, and other related documents.
• Collaborate with experienced lawyers and assume increasing levels of responsibility and client interaction.
• Provide guidance to clients on regulatory and compliance issues, particularly in the corporate governance and securities law fields.

Qualifications:

• Juris Doctorate (JD) required.
• Must be licensed to practice in the State of Washington.
• 3-6 years of experience in corporate law, including mergers and acquisitions, private securities offerings, contract drafting, and corporate governance.
• Strong academic record and excellent research and writing skills.
• Experience with fund formation or regulatory work is a plus.

Compensation & Benefits:
The salary range for this position reflects factors such as experience, education, licensure, certifications, geographic location, market demands, and business needs. The estimated salary range for this position is $205,000 – $262,500.
