Job Description:
We are representing a premier law firm seeking a mid-to-senior level associate to join its high-impact Emerging Companies & Venture Capital (ECVC) practice in San Francisco. This is an exceptional opportunity to work at the intersection of innovation and finance, advising top-tier tech and life sciences startups—as well as the investors backing them—through all stages of growth.
The ideal candidate will bring 6–8 years of ECVC experience, with a strong understanding of startup ecosystems, early and late-stage financings, corporate governance, and exit transactions. You’ll work directly with founders, CEOs, and boards, leading transactions and helping shape the next generation of transformative companies.
Key Responsibilities:

Represent emerging growth companies and VC investors in formation, financings, M&A, and other strategic matters

Advise on SAFEs, preferred stock financings, convertible notes, and equity compensation plans

Serve as trusted counsel to high-growth startups across various sectors including AI/ML, digital health, fintech, and life sciences

Guide clients through complex corporate governance and transactional issues from pre-seed through pre-IPO
Qualifications:

6–8 years of ECVC or related corporate experience at a top-tier law firm

JD from an ABA-accredited law school with outstanding academic credentials

Proficiency in venture capital deal terms, startup equity structuring, and founder/investor negotiations

Excellent communication skills and a client-focused, entrepreneurial mindset

Admission to the California Bar (or willingness to obtain)
Compensation & Benefits:

Competitive base salary: $390,000–$435,000
