Job Description:

We are representing a premier law firm seeking a mid-to-senior level associate to join its high-impact Emerging Companies & Venture Capital (ECVC) practice in San Francisco. This is an exceptional opportunity to work at the intersection of innovation and finance, advising top-tier tech and life sciences startups—as well as the investors backing them—through all stages of growth.

The ideal candidate will bring 6–8 years of ECVC experience, with a strong understanding of startup ecosystems, early and late-stage financings, corporate governance, and exit transactions. You’ll work directly with founders, CEOs, and boards, leading transactions and helping shape the next generation of transformative companies.

Key Responsibilities:

  • Represent emerging growth companies and VC investors in formation, financings, M&A, and other strategic matters

  • Advise on SAFEs, preferred stock financings, convertible notes, and equity compensation plans

  • Serve as trusted counsel to high-growth startups across various sectors including AI/ML, digital health, fintech, and life sciences

  • Guide clients through complex corporate governance and transactional issues from pre-seed through pre-IPO

Qualifications:

  • 6–8 years of ECVC or related corporate experience at a top-tier law firm

  • JD from an ABA-accredited law school with outstanding academic credentials

  • Proficiency in venture capital deal terms, startup equity structuring, and founder/investor negotiations

  • Excellent communication skills and a client-focused, entrepreneurial mindset

  • Admission to the California Bar (or willingness to obtain)

Compensation & Benefits:

  • Competitive base salary: $390,000–$435,000
